Seller Agreement
Version 2026-09-27.3.
This agreement is between you, as a seller, and Katlego Nexus (Pty) Ltd trading as Plate2Peer. It forms part of our Terms and Conditions, which also apply to you. You accept it when you accept the Terms to open a store, and each time you keep selling after we tell you about a change.
1.Who can sell
- You must be 18 or older, and tell us who you are (see “Knowing who you are” below).
- If you sell for a business, you confirm you are allowed to act for it, and the business is bound by this agreement too.
- Your payout bank account must be in your own name or your business's name.
- The details you give us must be true and kept up to date, including the store's contact number.
2.Knowing who you are
- If you are a student, you confirm your university email address (ending in .ac.za) with a code we send to it, and give your student number. Otherwise you give your full name and South African ID number, and we compare your ID with your face on a short video call.
- The details must be your own and true. Using someone else's details, or false ones, is fraud and ends your store.
- Each student number, university email or ID number can be linked to one store only.
- You confirm again every 3 months. If you do not, your store is hidden from buyers until you do; paid orders carry on.
- We keep these details encrypted and never show them to buyers. We may confirm them with your university, and share them with the police or other authorities when the law requires it or to report a crime such as fraud, as the Privacy Policy explains.
3.What you may sell
- Packaged or resale goods only. No homemade food, and nothing on the prohibited items list.
- Only goods you own or may sell, that are genuine (never counterfeit), legal to sell, and safe.
- Food and drinks must be sealed in the original packaging, within their date, labelled as the law requires, and stored so they stay safe to eat. You must follow any health or municipal rules that apply to you.
Food listings are checked before they go live. We may refuse, hide or remove any listing, and tell you why.
4.Listings, prices and stock
- Describe products accurately, with your own photos or photos you may use, and the full price.
- Keep your stock honest, on the website or by WhatsApp, so buyers are never charged for items you do not have.
- You set your own prices. The price a buyer pays is the price shown when they order; you may not ask for more.
5.Handling orders
- Accept new paid orders promptly, and deliver or have them ready for collection at the times and places you set.
- Only hand over orders shown as paid on Plate2Peer. Check the order number with the buyer on handover.
- Mark each step honestly (accepted, ready or on its way, handed over). Marking an order as handed over when it is not is fraud.
- Keep proof of delivery or collection (messages, photos) for at least 30 days: you will need it if a problem is reported.
- Never ask a buyer to pay you outside Plate2Peer for an order placed on Plate2Peer.
6.Cancellations and refunds
- If you cannot fulfil a paid order, cancel it with a reason. The buyer is refunded in full and there is no payout for it.
- If a buyer asks to cancel, answer within 24 hours: agree (a full refund), or say no with an honest reason, for example because it is already on its way. If you do not answer, our team may cancel the order with a full refund.
- You are the supplier of your goods, so the buyer's rights under the Consumer Protection Act (for example returns of faulty goods within six months) and the Electronic Communications and Transactions Act (the 7-day cooling-off period, where it applies) are rights against you. You agree to honour them as the Refund and Cancellation Policy describes.
- Cancelling often, or cancelling to avoid fees, can lead to suspension.
7.Reviews
- Plate2Peer asks buyers to rate your store and products after each order. You see those ratings and comments on your Reviews page.
- You choose whether reviews show on your store and product pages. If you switch them on, every review shows and counts: you cannot pick, change or remove reviews. You can switch them off again.
- Do not review your own store, ask others to, offer anything in return for a good review, or pressure a buyer about a review. Doing so can lead to your store being suspended. Tell us if a review breaks the rules and we will look at it.
8.Problems reported by buyers
- When a buyer reports a problem, your payout for that order is frozen.
- Give your side, with photos if you have them, within 24 hours. If you do not, we decide without it.
- We decide within 72 hours of the report: pay you, refund the buyer in full, or refund them in part. A partial refund comes off your payout.
- A dispute you lose is a strike. After 3 strikes your store is suspended and reviewed.
- Our decision settles what happens to the money we hold. It does not take away any right you have to take the matter further.
9.Fees
- Registration: R29 once off, which includes your first month.
- Keeping your store live: R120 a year or R15 a month, paid upfront. If a payment is more than 7 days late, your store is hidden until it is paid. Paid orders carry on as normal.
- Commission: 8% of the product total on each completed sale.
- A share of the payment provider's fee, in proportion to your share of each payment.
- Premium (optional): R49 a month.
Fee codes and free trials are for the store they were given to, can be used once, have no cash value and cannot be exchanged. When fees are refunded is set out in the Refund and Cancellation Policy. We will give you at least 14 days' notice before a fee goes up; the new fee applies from your next payment after that.

10.Payments and payouts
- You appoint us as your agent to collect payment from buyers. A buyer who pays Plate2Peer for an order has paid you. We hold the money until the order is complete, and it earns no interest for you.
- Your share is released when the buyer confirms they have the order, when the 48 hours protection window ends, or when a problem is decided in your favour. Released money is paid into your bank account by EFT in our regular payout runs, less commission and your share of the processing fee.
- We may deduct from your payouts, or ask you to repay within 7 days, any amount you owe us, including refunds decided against you after you were paid, card disputes lost because of your order, and fees that are due.
- We may hold a payout while we look into suspected fraud, a reported problem or a card dispute, and tell you when we do.
- You are responsible for giving us correct bank details. We are not responsible for a payment made to the details you gave.
11.Tax
You are responsible for your own taxes on what you earn. Our fees are the amounts shown, with nothing added. Your dashboard shows your sales and payouts for your records.
12.Buyers' personal information
With each paid order you receive the buyer's name, cellphone number and delivery details. Under the Protection of Personal Information Act you are responsible for how you use them. You agree to:
- use them only to complete that order and to deal with problems about it;
- never use them for marketing, or share or sell them, unless the buyer separately agrees;
- keep them safe, and delete them once you no longer need them for the order or your records; and
- tell us straight away if they are lost, stolen or seen by someone who should not have them.
13.Selling through WhatsApp
Messages from your store's registered number can change your stock and your orders, including cancelling an order with a full refund. Keep that phone and WhatsApp account secure, and tell us straight away if you lose it or change the number. What is done from that number counts as done by you. The WhatsApp Terms of Use also apply.
14.Your conduct
- Be honest and respectful with buyers and our team.
- No fake orders, fake reviews, or orders placed to move your own money.
- Do not say or suggest that you are Plate2Peer, or that we endorse your products.
- Follow the law that applies to your products and your business.
15.Your store name, logo and listings
You keep ownership of your store name, logo, photos and descriptions. You allow us to show, copy and adapt them, without payment, to run and promote Plate2Peer, including in catalogues, search, WhatsApp messages and social media, while your store is open and for a reasonable time after it closes. You confirm you have the right to give us this permission.

16.Covering claims about your products
You are responsible for your products and your conduct. If a buyer or anyone else makes a claim against us because of your products (for example harm caused by unsafe goods), your listings, your breach of this agreement or your breach of the law, you agree to cover the reasonable costs, losses and damages we suffer as a result, including reasonable legal fees. This does not apply to the extent that the loss was caused by our own negligence or breach.

17.Limits on our responsibility to you
As far as the law allows, we are not responsible for lost sales, lost profit or other indirect loss, or for what buyers do, and our total responsibility to you for any claim is limited to the fees you paid us in the three months before the claim. This does not limit our responsibility for our gross negligence, fraud or wilful misconduct, or for paying you money we owe you.
18.Suspension and closing your store
We may hide listings, hold payouts, or suspend or close your store if you break this agreement or the law, if buyers are at risk, if we suspect fraud, after 3 strikes, or if fees are unpaid. Where it is safe to, we tell you why and give you a chance to respond.
You can close your store at any time, once open orders are finished. Money we owe you is paid out after any holds end, and anything you owe us is deducted. Sections that by their nature should continue (such as payments owed, buyers' personal information, covering claims and limits on responsibility) continue after closing.
19.Our relationship
You are an independent seller. You are not our employee, partner or agent, and you may not make promises on our behalf. We act as your agent only to collect payment from buyers.
20.Changes to this agreement
We will give you at least 14 days' notice, by email, WhatsApp or in your dashboard, before an important change to this agreement or a fee increase takes effect. If you do not agree, you may close your store before it takes effect. If you keep selling after that, the change applies.
21.The law and disputes between us
This agreement is governed by the law of the Republic of South Africa. If we disagree, we will first try to resolve it by talking to each other in good faith. If we cannot, either of us may go to a South African court with jurisdiction, and you agree that we may bring a claim in the Magistrate's Court even if it would otherwise be above that court's limit.
